abstract

The article provides an overview of the Italian legal framework regulating the “cambiali finanziarie” (debt instruments similar to the commercial papers introduced under the UK and US legal system) as resulting from the reform occurred in 2012. Particular attention is reserved to the amendments made to the provisions concerning the issue and the transfer of the “cambiali finanziarie” with a special focus on the possibility of such instruments being issued under a dematerialisation regime (i.e., without being represented by a physical document).
