abstract

The essay analyses the role and the functions that the chairman of the board of directors carries out in the same council, wondering if their exercise could give rise to his specific responsibility profiles, different from the joint liability normally imposed on all the members of the management body. The first part of the essay examines the source of the chairman’s specific duties, distinguishing, in particular, the duties with specific content from those with a generic content. The second part deals with the specific functions that the chairman performs in the promotion and monitoring of information flows among the board. The third part highlights the specific function of verifying the completeness and truthfulness of the information provided by the chairman to the board of directors and his possible related responsibilities.
